Gobierno corporativo en la Ley General de Sociedades en el Perú: el surgimiento de su autorregulación

Abstract
La presente investigación se centra en el análisis del gobierno corporativo en Perú, con un enfoque específico en la Ley General de Sociedades (LGS) y la autorregulación a través de los casos de estudio de Backus y AENZA. El objetivo principal es determinar los artículos de la LGS aplicables al gobierno corporativo, visibilizar la autorregulación mediante los casos seleccionados, e identificar las ventajas y desventajas de esta práctica en el contexto peruano. La metodología utilizada es un estudio de casos comparativos, que permite una evaluación sistemática de las prácticas de autorregulación en ambas empresas. Los resultados indican que, aunque la autorregulación presenta beneficios como bajos costos y flexibilidad, es esencial contar con un marco regulatorio mínimo que establezca estándares claros para prevenir situaciones adversas, como se evidenció en el escándalo de corrupción en AENZA. Este análisis sugiere que Perú podría beneficiarse de un enfoque híbrido que combine elementos de autorregulación con obligaciones regulatorias básicas, garantizando así una gobernanza más efectiva y transparente en el sector empresarial.
This research focuses on the analysis of corporate governance in Peru, specifically examining the General Corporation Law (LGS) and self-regulation through case studies of Backus and AENZA. The main objective is to determine the articles of the LGS applicable to corporate governance, to highlight self-regulation through the selected cases, and to identify the advantages and disadvantages of this practice in the Peruvian context. The methodology employed is a comparative case study, which allows for a systematic evaluation of self-regulatory practices in both companies. The results indicate that while self-regulation offers benefits such as low costs and flexibility, it is essential to have a minimum regulatory framework that establishes clear standards to prevent adverse situations, as evidenced by the corruption scandal involving AENZA. This analysis suggests that Peru could benefit from a hybrid approach that combines elements of self-regulation with basic regulatory obligations, thereby ensuring more effective and transparent governance in the business sector.
